# Terms of Service

This website (the "Site") is owned and operated by TubaBass LLC, a Delaware limited liability company ("TubaBass," "we," "us"). By using the Site — including booking an audition or call, or enrolling in a TubaBass program — you agree to these Terms of Service and to our Privacy Policy. If you do not agree, please do not use the Site.
We may update these Terms from time to time by posting the revised version on this page with an updated effective date. Continued use of the Site after changes are posted means you accept them.
## What TubaBass is
TubaBass is an online coaching studio for tuba and sousaphone players. Through the Site you can book an audition call, and if admitted, enroll in coaching programs that may include live classes, recorded lessons, practice materials, feedback, and access to a private student community.
## Auditions and enrollment
Booking an audition does not guarantee admission. Admission to TubaBass programs is at our sole discretion. We ask that you treat scheduled calls seriously: show up on time, prepared, and ready to play. We may cancel or decline to reschedule calls that are missed without notice.
## Payments and billing
Prices, payment schedules, and what's included are stated at the time of purchase. You agree to pay the fees for any program you enroll in and are responsible for keeping your payment method current. If a payment fails, we may pause your access to program materials until the issue is resolved — we'll attempt to contact you first, and access is restored once billing is fixed.
## Refunds
Refund terms, if any, are stated for each specific program or product at the time of purchase. Unless expressly stated otherwise there, all sales are final.
## Your license to use our materials
All content on the Site and in our programs — lessons, videos, recordings, exercises, practice plans, and written materials — belongs to TubaBass LLC or its licensors and is protected by copyright and other intellectual property laws. When you enroll, you get a personal, non-transferable license to use these materials for your own learning. You may not share, resell, republish, or distribute program materials, and you may not share your account access. Doing so is a material breach of these Terms and may result in termination without refund.
## Content you share with us
Students and visitors sometimes send us or post materials — messages, photos, videos, recordings, testimonials, and posts in the student community ("Submissions"). By providing a Submission, you confirm you own it or have permission to share it, and you grant TubaBass a royalty-free, worldwide, perpetual, non-exclusive license to use, reproduce, edit, and display it in connection with operating and promoting TubaBass. If you'd like a specific Submission removed from our marketing, email us and we will accommodate reasonable requests. Recordings of classes and coaching sessions that we produce are owned by TubaBass.
## Community conduct
Our student community exists to help every member get better, gig more, and support each other. You agree not to harass other members, post unlawful or infringing material, spam, advertise, or solicit members for unrelated products or services, or attempt unauthorized access to any account or system. We reserve the right to remove content or members at our discretion to protect the community.
## No guarantees
TubaBass is an educational service. We teach skills; we do not and cannot guarantee any particular outcome — including specific musical results, gigs, bookings, or income. Any student results described on the Site are real but individual, and depend on factors like practice, experience, and local music scenes. Nothing on the Site is professional financial, legal, or medical advice.
## Disclaimers
THE SITE AND ALL MATERIALS, PRODUCTS, AND SERVICES ARE PROVIDED "AS IS" AND WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED OR ERROR-FREE.
## Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, TUBABASS LLC AND ITS MEMBERS, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING FROM YOUR USE OF, OR INABILITY TO USE, THE SITE OR OUR PROGRAMS. OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE MONTHS BEFORE THE CLAIM AROSE. SOME STATES DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.
## Indemnification
You agree to defend, indemnify, and hold harmless TubaBass LLC from claims, damages, and expenses (including reasonable legal fees) arising out of your breach of these Terms or your misuse of the Site.
## Copyright complaints (DMCA)
If you believe in good faith that material on the Site infringes your copyright, send a notice meeting the requirements of the Digital Millennium Copyright Act to our copyright agent at [email protected]. Counter-notices may be sent to the same address.
## Termination
We may suspend or terminate your access to the Site or any program at any time for breach of these Terms. Sections of these Terms that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, and indemnification) will survive.
## Governing law and disputes
These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles. Any dispute arising out of these Terms or your use of the Site will be resolved by binding arbitration in Delaware, except that either party may seek relief in small-claims court or injunctive relief for intellectual property violations. If any provision of these Terms is found unenforceable, the rest remain in effect.
